Our team supports clients in all legal aspects of the real estate value chain: investment and arbitration, development and construction, financing, mergers and acquisitions, restructuring and asset management.

The team advises national and international operators, such as investment funds, insurers, listed and unlisted real estate companies, developers, family offices, portfolio management companies, fund and asset managers and end-users, and works on all types of underlying real estate, such as offices, retail units, shopping centres, logistics, hotels, housing, healthcare facilities, nursing homes, data centres, student residences, etc.

REAL ESTATE TRANSACTIONS AND INVESTMENTS

We support our clients in their investment and divestment strategies for:

• the acquisition or disposal of real estate assets and portfolios (directly (asset deal) or indirectly (share deal)).
• real estate outsourcing projects, sale and leaseback, real estate partnerships, asset valuation.
• creation of regulated (notably OPCI) and non-regulated real estate investment vehicles, FIAs, joint venture structuring, shareholders’ agreements.

PROMOTION AND CONSTRUCTION

We support investors, project owners and property development companies in all aspects of the building production cycle, including:

• land management and complex real estate projects (legal and organizational structuring).
• program financing and marketing.
• drafting and negotiating construction contracts (project management, works contracts, CPI, MO, MOD, etc.).
• monitoring construction operations through to delivery, as well as assistance with pre-litigation and dispute settlement.

LEASING AND PROPERTY MANAGEMENT

We advise lessors and users on drafting and negotiating leases, as well as on property management, including:

• commercial, civil, derogatory, precarious, professional, residential leases, etc.
• leases granting a right of superficies (emphyteutic and construction leases) for complex real estate projects or renewable energy projects.
• marketing contracts, asset management, property and facility management, co-ownership management contracts, hotel management contracts (HMA, reverse HMA, etc.), etc.

We work closely with the firm’s other teams, in particular the Corporate / M&A, Tax, Public Law and Urban Planning teams.
